§ 1 Provider, scope, for businesses only
Alwin Viereck
Erni-Singerl-Str. 6
81249 München
E-Mail: mail@bauhelfer.app
(1) These terms apply to the use of the app “Bauhelfer.app” and the associated services (together the “Service”) between the provider named above and you as the user.
(2) The Service is aimed exclusively at businesses (Unternehmer) within the meaning of § 14 BGB (German Civil Code) (e.g. trade businesses, self-employed persons). By giving your consent, you confirm that you use the Service for your commercial or self-employed professional activity. Consumers may not use the Service.
(3) Deviating terms of the user do not apply.
§ 2 Conclusion of contract, language
(1) The contract of use is concluded when you consent in the app to these terms and to the data processing agreement. Without consent you cannot use the Service; export and deletion of your data remain possible at any time.
(2) The German version is binding. Translations and summaries in the app serve only to aid understanding.
§ 3 Services during the test phase
(1) The Service helps you to record notes, quotes, invoices, receipts and working hours from voice recordings, photos and entries, to create documents as PDF, and to have quotes accepted or rejected via a quote page.
(2) During the test phase the Service is free of charge. It is under development: features may change, be discontinued or be temporarily unavailable. There is no entitlement to specific features or to a specific availability.
(3) We will announce the end of the test phase or the switch to a paid offering at least four weeks in advance. The Service only becomes subject to charges for you if you expressly agree to this.
§ 4 Your responsibility for documents — no tax or legal advice
(1) You are the issuer of your quotes and invoices. The Service creates drafts, also with the help of automatic speech recognition and analysis (“AI”). These may contain errors. You check every document before sending or issuing it, in particular the customer, line items, quantities, prices, VAT, mandatory information and payment terms.
(2) You are responsible for the accuracy of your information about your business (including address, tax number, VAT ID number, VAT status, bank details).
(3) The Service is a tool and does not replace tax or legal advice. Templates and notes (e.g. on § 14 UStG (German VAT Act), § 19 UStG, right of withdrawal) are provided without warranty for your individual case.
(4) You yourself fulfil the requirements of trade and professional law for your activity (e.g. trade registration, entry in the register of craftspeople (Handwerksrolle), master craftsman requirement (Meisterpflicht)).
§ 5 Sending quotes and invoices, quote page
(1) You send quotes and invoices yourself and in your own name, e.g. from your email program or via messenger. The provider does not send any messages to your customers.
(2) Contracts for your services are concluded exclusively between you and your customer. The provider is not a party to the contract; it provides the quote page on your behalf.
(3) You send quotes only to persons who have requested a service from you or with whom you have a business relationship. Unsolicited advertising by email, messenger or telephone without the recipient’s prior express consent is unlawful (§ 7 UWG (German Act against Unfair Competition)) and prohibited via the Service.
(4) Towards consumers, you yourself fulfil the statutory information and instruction obligations, in particular for distance contracts or contracts concluded away from business premises (§§ 312 ff. BGB). For quotes to customers who are not recorded as a company, the Service attaches withdrawal instructions based on the statutory model; whether they fit your contract (e.g. for consumer construction contracts under § 650i BGB) is for you to check. If a consumer has not expressly requested that you begin before the withdrawal period expires, you begin only after it has expired.
(5) Acceptance links are valid for 14 days. The provider is not responsible for the delivery of messages that you send via your own programs.
§ 6 Further obligations
(1) You protect your device and your access against access by unauthorised persons and inform us without undue delay if you suspect misuse.
(2) You process data of your customers, employees and helpers only insofar as you are entitled to do so, and you inform them in accordance with Art. 13, 14 DSGVO (GDPR). You are the controller for this data; the provider processes it on your behalf in accordance with the data processing agreement.
(3) You do not use the Service for unlawful content, not under someone else’s name, and not in a way that infringes the rights of third parties or disrupts the operation of the Service.
§ 7 Retention and data backup
(1) The retention obligations under tax and commercial law (including § 147 AO (German Fiscal Code), § 14b UStG, GoBD (German principles for proper electronic bookkeeping) including process documentation) rest with you. The Service stores issued invoices and sent quotes in unalterable form.
(2) The Service is not an audit-proof archive. Export your records regularly (app: Account → “Your data” → “Export data”), especially before deleting your account and during the test phase.
§ 8 Liability
(1) During the free test phase, the provider is liable only for intent and gross negligence.
(2) This does not affect liability for damage arising from injury to life, body or health, under the Product Liability Act (Produkthaftungsgesetz), in the case of fraudulent concealment of a defect, or under Art. 82 DSGVO.
(3) The provider is not liable for content that you create, check and send, nor for the consequences of drafts adopted without checking (§ 4 (1)).
(4) A later paid offering will be subject to separate liability rules, which will be presented to you for consent beforehand.
§ 9 Indemnification
If a third party makes a claim against the provider on account of content or messages that you have created or sent via the Service, and this is based on a culpable breach of your obligations under §§ 5 or 6, you indemnify the provider against these claims, including reasonable costs of legal defence.
§ 10 Data protection
How we process your own data is set out in the privacy policy. The data processing agreement applies to the data of your customers, employees and helpers; it forms part of these terms.
§ 11 Term and termination
(1) The contract runs for an indefinite period. You can end it at any time by deleting your account (in the app or at bauhelfer.app/konto-loeschen).
(2) The provider may terminate with four weeks’ notice, and without notice for good cause (e.g. sending unsolicited advertising, misuse).
(3) When the contract ends, your data will be deleted in accordance with the data processing agreement; export it beforehand.
§ 12 Changes to these terms
We will present new versions to you in the app for your consent. If you do not consent, you cannot continue to use the Service; export and deletion of your data remain possible.
§ 13 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) If the user is a merchant (Kaufmann), a legal entity under public law or a special fund under public law, the place of jurisdiction is the provider’s registered seat.
(3) Should any provision be invalid, the remainder of the contract remains valid.
